Terms & Conditions for TaxDome Marketplace
Introduction
These Terms and Conditions (“Terms”) are a legal agreement between you and TaxDome, governing your use of our marketplace platform. Throughout this document, we will refer to TaxDome as “we,” “us,” or “our,” “the platform” refers to TaxDome Marketplace, and we will refer to the users of our platform as “you” or “participants” or “creators” or “buyers”.
In these Terms, “creators” are individuals or entities acting as creators, offering their templates and services on the marketplace. “Buyers” are any user of TaxDome looking to engage with the offerings available within our marketplace.
Other Definitions
- Marketplace: The service provided by TaxDome, allowing creators to list and sell business process templates.
- Creator: An individual or legal entity that lists and offers templates on the Marketplace, for free or for a fee.
- Buyer: An individual or legal entity that purchases templates on the Marketplace.
- Template: A predesigned set of settings, configurations, or materials that can be used to automate business processes using the TaxDome product. Templates may include but are not limited to settings, forms, documents, or other resources designed to simplify accounting practices and other processes.
By checking the box and indicating your agreement to these Terms on our website, you confirm that you have read, understood, and agree to comply with and be bound by these Terms. If you do not agree with these Terms, you may not use our platform.
1. Payment Terms:
Payment Processing:
Creators may set prices for their templates. Buyers agree to pay the specified fees for purchased templates. TaxDome may use third-party payment processors to facilitate transactions. TaxDome charges a commission on each sale. Revenue from template sales will be paid to creators on their connected bank accounts through the Stripe system, less TaxDome and Stripe commissions. Payments may be made on a regular basis as set by TaxDome.
Transaction Fees:
TaxDome reserves the right to charge transaction fees on purchases. Transaction fees will be clearly communicated to creators and buyers.
TaxDome Account Requirement:
To receive payment for sold templates, creators must maintain an active TaxDome account linked to their TaxDome profile. Payment processing is contingent upon the creator’s compliance with TaxDome’s terms and conditions.
2. Language and Conduct Guidelines:
Participants in our marketplace are expected to communicate and interact respectfully. The use of profanity, hate speech, or any form of offensive language is strictly prohibited. TaxDome reserves the right to monitor and take appropriate actions, including the suspension or termination of accounts, in response to violations of this guideline.
3. Template Listing Restrictions:
Buyers who have downloaded a template from a creator may not, under any circumstances, list the same or slightly modified template for sale within the marketplace under their own or other creator account. This provision is in place to prevent the unauthorized duplication and resale of templates.
Violation of this policy may result in the suspension or termination of the creator account.
4. Enforcement:
TaxDome reserves the right to monitor and enforce these restrictions. If it is determined that a buyer has violated the template listing restrictions, appropriate actions, including but not limited to account suspension or termination, may be taken at our discretion.
5. Refund and Return Policy:
No Refunds:
Due to the digital nature of templates, all sales are final, and TaxDome does not offer refunds. Buyers are encouraged to review templates carefully before purchasing.
6. Intellectual Property Rights:
Ownership:
Creators retain ownership of their templates. By listing a template on the platform, creators grant buyers a license to use the template under the terms specified.
7. License Agreement:
License Grant:
Upon purchase, creators grant buyers a non-exclusive, non-transferable license to use the template for personal or business purposes. Any additional usage rights must be agreed upon separately.
Restrictions:
Buyers are prohibited from reselling, redistributing, or modifying templates for resale without explicit permission from the creator.
8. User Content and Moderation:
Content Guidelines:
Creators and buyers must adhere to TaxDome’s content guidelines. Prohibited content includes, but is not limited to, offensive, illegal, or infringing material.
Moderation:
TaxDome reserves the right to moderate and remove any templates or user-generated content that violates guidelines.
9. Termination of Accounts:
Grounds for Termination:
TaxDome may terminate accounts for violations of the Terms and Conditions, including but not limited to fraudulent activities, misuse of the platform, or repeated policy violations.
10. Availability of Templates:
Changes in Availability:
Creators may remove their templates from the marketplace at any time. TaxDome is not responsible for the availability of specific templates.
11. Modification of Terms:
Notification of Changes:
TaxDome reserves the right to modify the Terms and Conditions. Changes will be communicated to users through the platform, and continued use constitutes acceptance of the updated terms.
12. Technical Requirements:
User Responsibility:
Users are responsible for ensuring they meet any technical requirements for accessing and using the platform.
13. Limitation of Liability:
No Warranty:
TaxDome provides the platform “as is” without warranties. TaxDome is not responsible for any damages resulting from the use of the platform.
14. Limitation of Liability:
TaxDome is not responsible for the quality or outcomes of using the templates sold on the Marketplace. All disputes between creators and buyers are to be resolved between them, and TaxDome does not participate in dispute resolution
Buyers and creators acknowledge and agree that any template purchased from TaxDome Marketplace is intended for their personal or organizational use and may not be resold or distributed on TaxDome Marketplace.
The resale prohibition extends to complete or modified copies of the templates. Users are expressly prohibited from offering for sale, selling, or otherwise making available to third parties any templates obtained from TaxDome Marketplace in a manner that infringes on the intellectual property rights of TaxDome or any third party.
Any violation of this resale clause may result in the immediate termination of the seller’s account and legal action to seek damages for the unauthorized use and resale templates.
15. Indemnification:
User Responsibility:
Users agree to indemnify and hold TaxDome harmless from any claims, losses, or damages arising from their use of the platform or any violation of the Terms and Conditions
16. Registration and Accounts:
To use the TaxDome Marketplace, both creators and buyers must create a TaxDome account.
You agree to provide accurate and current information at registration and not to transfer your account to third parties. You are responsible for the security of your account and password.
